📈 Ambeon Capital Plans Rs. 4 Bn Equity Raising to Fund High-Growth Sectors
Ambeon Capital PLC has announced plans to raise up to Rs. 4 billion through a combination of a Rights Issue and a private placement. The initiative aims to strengthen the company’s capital structure, reduce its gearing ratio, and fund new equity investments in high-growth areas. • Overall Funding Targets: Total capital raising of up to Rs. 4.0 billion at an issue price of Rs. 32 per share. The price is set slightly above the recent market closing price of Rs. 30.10, which the Board noted reflected fair value amid recent market volatility. • Structure of the Capital Raise: • Rights Issue: Plans to issue up to 100 million ordinary voting shares to raise up to Rs. 3.2 billion. Existing shareholders can subscribe at a ratio of 1 new share for every 10.22352863 shares held. • Private Placement: A contingent placement of up to 25 million ordinary voting shares to raise an additional Rs. 800 million. This will only proceed if the Rights Issue is fully subscribed and will be allocated on a pro-rata basis if oversubscribed. • Strategic Utilization: Proceeds will be utilized to lower debt leverage and bankroll new investments into critical diversification sectors for the national economy, including financial services, technology, real estate, and fast-moving consumer goods (FMCG). • Current Status & Approvals: Both capital-raising exercises are subject to in-principle approval from the Colombo Stock Exchange (CSE). The Rights Issue requires an ordinary resolution from shareholders, while the private placement requires a special resolution at an upcoming General Meeting.
